Terms of Service
ConsultTech CRM, LLC d/b/a Zeploy
Effective date: October 8, 2026
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between ConsultTech CRM, LLC, a Tennessee limited liability company doing business as Zeploy ("ConsultTech," "we," "us," or "our"), and the individual or entity that accesses or uses the Service ("Customer," "you," or "your"). These Terms, together with the Privacy Policy, constitute the agreement between the parties (the "Agreement").
By creating an account, clicking an acceptance button, or accessing or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you are accepting on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms, and all references to "you" refer to that organization.
If you do not accept these Terms, you may not access or use the Service.
2. Definitions
- "Authorized User" means a natural person authorized to access and use the Service under your account. Each Authorized User occupies one seat.
- "Confidential Information" means all non-public information disclosed by or on behalf of one party to the other in connection with these Terms, whether in oral, written, electronic, or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. ConsultTech's Confidential Information includes the Service and all related technology. Customer's Confidential Information includes Customer Data.
- "Connected Org" means a Zoho CRM organization you authorize the Service to access.
- "Customer Data" means all data, content, configuration metadata, records, and other materials that the Service stores or processes on your behalf, including data retrieved from a Connected Org, account information, and operational logs, but excluding Usage Data.
- "Documentation" means the user guides, help articles, API reference materials, and other technical documentation for the Service made generally available by ConsultTech, as updated from time to time.
- "Fees" means the amounts payable by Customer for access to and use of the Service.
- "Service" means the Zeploy cloud-based software application, including its web interface, APIs, background processing services, and any related Documentation, as updated from time to time in accordance with these Terms.
- "Subscription Term" means the initial period and any renewal periods during which Customer is entitled to access and use a paid plan of the Service.
- "Usage Data" means data and information regarding the provision, use, and performance of the Service, collected by ConsultTech in connection with the operation of the Service.
- "Zeployment" means an operation in which the Service writes configuration, metadata, or records to a Connected Org.
3. The Service
3.1 Subject to these Terms and your payment of applicable Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable Subscription Term, solely for your internal business operations.
3.2 We may modify, add, or remove features of the Service at any time. We will not materially reduce the core functionality of a paid plan during a Subscription Term without providing you notice.
3.3 Features labeled as beta, early access, or otherwise designated as pre-release are provided "as is" without warranty of any kind, may change or be withdrawn at any time without notice, and are excluded from any service commitment, warranty, indemnity, or service level obligation under these Terms.
4. Accounts and eligibility
4.1 By accessing or using the Service, you represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and capable of forming a binding contract, and that account information you provide is accurate, complete, and current.
4.2 You are responsible for all activity under your account, including all acts and omissions of your Authorized Users, and for maintaining the confidentiality and security of all login credentials. You will notify us promptly upon becoming aware of any suspected unauthorized access to or use of your account.
4.3 Access to the Service may be invitation-gated or subject to a waitlist during beta or limited-availability periods. We may decline or revoke access to any account in accordance with these Terms.
4.4 Seats and roles
4.4.1 Paid plans include a specified number of seats and may include additional Connected Org connections purchased as add-ons. Each Authorized User occupies one seat. Seats are assigned to individual Authorized Users, are not concurrent-use licenses, and may not be shared or transferred between individuals.
4.4.2 The Service assigns roles (owner, admin, and member) carrying different privileges, including the ability to deploy to a production Connected Org and to erase data or close the account. You are solely responsible for assigning roles appropriately and for any actions taken by Authorized Users within the scope of their assigned roles.
5. Connected Orgs and your authorization
5.1 You must be authorized to connect each Connected Org. By connecting a Connected Org, you represent and warrant that you own the Connected Org or have obtained the owner's written authorization to (a) read its configuration, metadata, and records, and (b) write configuration, metadata, and record changes to it through the Service.
5.2 You authorize us to access each Connected Org through the credentials you provide, solely for the purpose of providing the Service. You may disconnect a Connected Org at any time through the Service.
5.3 You are solely responsible for the scopes and permissions you grant to the Service. Restricted scopes may cause operations to fail, return incomplete results, or be skipped. We are not liable for any failure or limitation of the Service resulting from insufficient permissions you grant.
6. Zeployments — destructive operations and your responsibility
The Service writes to live Zoho CRM organizations at your direction. A Zeployment can create, modify, or replace configuration, metadata, and records in a production system. Misapplied changes can disrupt business operations, alter automation behavior, or affect data visible to your users and customers. You assume all risk associated with directing a Zeployment.
You acknowledge and agree that:
6.1 You are solely responsible for reviewing what a Zeployment will change before launching it, and for deciding whether to proceed.
6.2 The Service checks for missing dependencies by reading the target org before writing, but Zoho does not expose a dry-run facility for configuration writes. A validation that reports no findings does not guarantee a Zeployment will succeed or produce the intended result.
6.3 A Zeployment may partially complete. Where a write fails mid-operation, some changes may already be committed to the target org. The Service reports what succeeded and what did not. Reversing a partial Zeployment is your responsibility.
6.4 Pre-deployment backup snapshots taken by the Service are a record of the target Connected Org's prior configuration for reference. They are not a restore mechanism and do not constitute a backup of your Zoho organization.
6.5 You are responsible for maintaining your own backups of any Connected Org, and for testing changes in a sandbox environment before deploying to production.
6.6 We are not liable for any change written to a Connected Org at your direction, including changes resulting from an incorrect selection, an unreviewed diff, or a partial failure. This allocation of risk is reflected in the pricing of the Service and is a material basis of the bargain between the parties.
7. Availability and support
7.1 The Service is provided without a specific uptime commitment unless a separate written service level agreement is executed between the parties. We will use reasonable efforts to schedule planned maintenance outside common U.S. business hours and to provide advance notice of planned downtime where practicable.
7.2 Support is provided through the channels identified in the Service or Documentation, on a commercially reasonable efforts basis during our standard support hours.
8. Fees and billing
8.1 Paid plans are billed in advance on a monthly or annual basis through our designated payment processor. All Fees are as stated at the time of purchase and are payable in U.S. dollars.
8.2 Subscriptions renew automatically at the end of each Subscription Term for successive periods, unless you provide notice of non-renewal before the applicable renewal date.
8.3 Adding seats or org add-ons mid-term may be charged pro rata. Reductions take effect at the next renewal.
8.4 All Fees are exclusive of taxes. You are responsible for all sales, use, value-added, withholding, and similar taxes and government charges arising out of or relating to these Terms or your use of the Service, excluding taxes based solely on our net income.
8.5 Fees are non-refundable except as expressly set forth in these Terms, including for partial periods and for periods during which you did not use the Service. We may otherwise issue a refund at our discretion.
8.6 If payment fails or your account is overdue, we may suspend access to the Service upon notice to you. Access will be restored upon receipt of full payment of all outstanding amounts.
8.7 We may change the Fees applicable to any plan upon at least thirty (30) days' prior written notice before the start of a renewal term. The revised Fees will apply beginning with the next renewal term. If you do not agree to the revised Fees, you may cancel your subscription before the renewal date.
8.8 Complimentary, trial, and lifetime accounts are provided at our sole discretion, may carry different feature or usage limits, and may be modified or withdrawn upon reasonable notice, except where a fixed term has been expressly granted in writing.
9. Acceptable use
9.1 You will not, and will not permit any Authorized User to:
- 9.1.1 use the Service to access a Zoho organization that you are not authorized to access;
- 9.1.2 attempt to defeat tenant isolation, access another customer's data, or probe, scan, or test the vulnerability of our infrastructure or the Service without our prior written consent;
- 9.1.3 interfere with the Service or its operation, circumvent rate limits or access restrictions, or use the Service in a manner that places an unreasonable load on our or Zoho's infrastructure;
- 9.1.4 sell, resell, sublicense, distribute, rent, or provide access to the Service to any third party, except that a consultancy or agency may operate the Service on a client's behalf with that client's express written authorization;
- 9.1.5 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service, except to the extent that such restriction is expressly prohibited by applicable law, and then only upon advance written notice to us;
- 9.1.6 upload unlawful content, use the Service in violation of any applicable law or third-party right, or use the Service to develop a product or service that competes with the Service;
- 9.1.7 modify or create derivative works of the Service; or
- 9.1.8 remove, obscure, or modify in any way any proprietary or other notices or attributions in the Service.
9.2 We may suspend access to your account or any Authorized User's account in the event of a violation or suspected violation of this section, effective immediately and without notice where necessary to protect the Service, other customers, or third parties.
10. Customer Data and ownership
10.1 As between the parties, you retain all right, title, and interest, including all intellectual property rights, in and to Customer Data. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, store, and display Customer Data solely as necessary to provide and maintain the Service in accordance with these Terms and the Privacy Policy.
10.2 You represent and warrant that you have all rights, consents, and authorizations necessary to submit Customer Data to the Service and to grant the rights described in these Terms, including any required lawful basis to transfer personal data of your own customers or end users when migrating records through the Service.
10.3 As between the parties, we retain all right, title, and interest, including all intellectual property rights, in and to the Service, its software, Documentation, and all related technology, and any modifications, improvements, or derivative works thereof. These Terms grant you no rights in or to the Service or our intellectual property except the limited access right expressly set forth in Section 3. All rights not expressly granted herein are reserved.
10.4 We may collect and use Usage Data to operate, maintain, improve, and develop the Service and our other products and services, and for any other lawful purpose.
10.5 If you or any Authorized User provides us with any feedback, suggestions, or recommendations regarding the Service ("Feedback"), you hereby assign to us all right, title, and interest in and to such Feedback. We may use Feedback for any purpose without restriction or obligation to you.
11. Data retention and deletion
11.1 You may erase stored Customer Data, or close your account entirely, from within the Service. Both actions are irreversible. Upon account closure, we will delete Customer Data within thirty (30) days, other than (a) records that we are required to retain by applicable law and (b) data that exists in routine backups, which will age out on their normal cycle and remain subject to the confidentiality and security obligations of these Terms.
11.2 We may retain and disclose Customer Data or other data to the extent required by applicable law, regulation, or valid legal process.
12. Confidentiality
12.1 Each party (as "Recipient") will (a) use the other party's (as "Discloser") Confidential Information solely for the purposes of exercising its rights or performing its obligations under these Terms; (b) not disclose the Discloser's Confidential Information to any third party, except to its employees, agents, contractors, and professional advisors who have a need to know and are bound by confidentiality obligations no less protective than this Section 12; and (c) protect the Discloser's Confidential Information using at least the same degree of care it uses to protect its own confidential information of like kind, but in no event less than reasonable care. The obligations in this Section 12 do not apply to information that the Recipient can demonstrate (a) is or becomes publicly available through no fault of the Recipient; (b) was rightfully in the Recipient's possession without restriction before disclosure by the Discloser; (c) was rightfully received from a third party without confidentiality restrictions; or (d) was independently developed by the Recipient without use of or reference to the Discloser's Confidential Information.
12.2 The Recipient may disclose the Discloser's Confidential Information to the extent required by applicable law or legal process, provided that the Recipient, to the extent permitted by law, gives the Discloser prompt written notice of the required disclosure and reasonably cooperates, at the Discloser's expense, with the Discloser's efforts to obtain a protective order or other confidential treatment.
13. Third-party services
The Service depends on Zoho and on third-party cloud infrastructure providers (collectively, "Third-Party Services"). We do not control Third-Party Services. Changes to Zoho's APIs, permission model, rate limits, or availability may degrade or interrupt the Service, and some Zoho capabilities are not exposed through any API and therefore cannot be supported. We are not responsible or liable for any acts, omissions, outages, or changes by any provider of Third-Party Services, and your use of Zoho remains governed by your separate agreement with Zoho.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT A ZEPLOYMENT WILL PRODUCE A PARTICULAR RESULT, THAT VALIDATION WILL IDENTIFY EVERY PROBLEM, OR THAT DEFECTS WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED.
15. Limitation of liability
15.1 NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICE, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS ($50.00).
15.3 The limitations in Sections 15.1 and 15.2 do not apply to (a) your payment obligations under these Terms; (b) either party's liability for fraud, gross negligence, or willful misconduct; (c) your indemnification obligations under Section 16; or (d) liability that cannot be limited by applicable law.
15.4 The waivers and limitations in this Section 15 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and will survive and apply even if any limited remedy in these Terms fails of its essential purpose. The parties acknowledge that these limitations reflect a reasonable allocation of risk and are a material basis of the bargain.
16. Indemnification
16.1 Customer Indemnification. You will defend, indemnify, and hold harmless ConsultTech and its officers, directors, employees, and agents from and against any third-party claim, demand, suit, or proceeding, and all related damages, losses, costs, and expenses (including reasonable attorneys' fees), arising from or relating to: (a) Customer Data, including any claim that Customer Data infringes or misappropriates a third party's intellectual property or privacy rights; (b) your use of the Service in breach of the Agreement or in violation of applicable law; (c) your connection of a Zoho organization you were not authorized to connect; or (d) changes written to any Connected Org at your direction. You may not settle any claim against us unless we consent to such settlement, and we will have the right, at our option, to defend ourselves against any such claim or to participate in the defense thereof by counsel of our choice.
16.2 Infringement Indemnification. We will defend you and your officers, directors, employees, and agents from and against any third-party claim alleging that your authorized use of the Service in accordance with these Terms infringes or misappropriates a third party's United States patent, copyright, or trade secret rights (each, an "IP Claim"), and will pay for any damages finally awarded against you by a court of competent jurisdiction or agreed in settlement of such IP Claim, provided that you promptly notify us in writing of the IP Claim, cooperate with us, and allow us sole authority to control the defense and settlement of the IP Claim. Our indemnification obligations do not apply to IP Claims arising from: (a) modifications to the Service not authorized by us; (b) use of the Service in combination with materials not provided or authorized by us; (c) use of the Service in violation of these Terms; or (d) your continued use of an allegedly infringing version of the Service after we have made available a non-infringing update at no additional charge. If the Service becomes, or in our reasonable opinion is likely to become, the subject of an IP Claim, we may, at our option and expense: (i) procure for you the right to continue using the Service; (ii) replace or modify the affected component of the Service to make it non-infringing without materially reducing its functionality; or (iii) if neither (i) nor (ii) is commercially practicable, terminate the affected Subscription Term and refund to you any prepaid Fees for the unused portion of the Subscription Term. This Section 16.2 states our sole liability for any IP Claim.
17. Term, suspension, and termination
17.1 The Agreement is effective as of the date you first accept these Terms and will remain in effect until all Subscription Terms have expired or been terminated and your account has been closed, unless terminated earlier in accordance with this Section 17.
17.2 You may stop using the Service at any time. Canceling a paid plan prevents renewal at the close of the current Subscription Term; closing your account takes effect immediately and Customer Data will be handled in accordance with Section 11.
17.3 We may suspend or terminate your account (a) if you commit a material breach of the Agreement and fail to cure such breach within thirty (30) days after receiving written notice thereof; or (b) immediately if you fail to pay any amount when due and such failure continues for more than fifteen (15) days after notice.
17.4 Upon termination or expiration for any reason, your right to access and use the Service ceases immediately. During the thirty (30) day period following the effective date of termination or expiration, you may request an export of Customer Data by emailing support@zeployapp.com. After that period, we may delete Customer Data in accordance with Section 11. You are responsible for requesting any export of Customer Data you need before the expiration of that period.
17.5 Sections 2 (Definitions), 8 (Fees and billing) (for amounts accrued before termination), 10 (Customer Data and ownership), 11 (Data retention and deletion), 12 (Confidentiality), 14 (Disclaimers), 15 (Limitation of liability), 16 (Indemnification), and 19 (General) survive expiration or termination of these Terms, together with any other provision that by its nature is intended to survive.
18. Changes to these Terms
We may revise these Terms from time to time. We will provide prior notice via the Service or the email address associated with your account. Continued use of the Service after the revised Terms take effect constitutes acceptance. If you do not accept the revised Terms, you must stop using the Service and close your account before the revised Terms take effect.
19. General
19.1 Governing law. The Agreement is governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
19.2 Venue. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Davidson County, Tennessee for any dispute arising out of or relating to the Agreement or the Service, and each party waives any objection to that venue on grounds of inconvenient forum.
19.3 JURY TRIAL WAIVER. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICE.
19.4 CLASS ACTION WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES THAT ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICE WILL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
19.5 Equitable relief. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
19.6 Entire agreement. The Agreement, including these Terms, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, or representations, whether written or oral. Terms contained in any purchase order or similar document will not modify or supplement the Agreement.
19.7 Severability. If a court of competent jurisdiction finds any provision of the Agreement invalid or unenforceable, that provision will be amended to achieve as nearly as possible the intent of the parties, and the remainder of the Agreement will remain in full force and effect.
19.8 No waiver. No failure or delay by either party in exercising any right under the Agreement shall constitute a waiver of that right. Except as expressly stated herein, the remedies provided herein are in addition to, and not exclusive of, any other remedies of a party at law or in equity.
19.9 Assignment. You may not assign the Agreement without our prior written consent, except that you may assign the Agreement, upon written notice to us, in connection with a merger, reorganization, acquisition, or sale of all or substantially all of your assets or equity to which these Terms relate. We may freely assign the Agreement. Any attempted assignment in violation of this section is void. These Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.
19.10 Force majeure. We will not be liable for delay or failure to perform our obligations under these Terms (other than payment obligations) caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riot, government action, Internet or utility failure, or labor dispute.
19.11 Third-Party Beneficiaries. There are no third-party beneficiaries to the Agreement.
19.12 Export controls. You will not access or use the Service in violation of any applicable export control or trade sanctions laws or regulations, including those of the United States. You represent and warrant that you are not (a) located in, or a national or resident of, any country subject to a U.S. government embargo; or (b) designated on any list of prohibited or restricted parties maintained by the United States government, including those maintained by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury.
19.13 Notices. Notices to us must be sent to: ConsultTech CRM, LLC, 3970 Exchange Road, Wildersville, TN 38388. Notices to you will be sent to the email address associated with your account. Notices are deemed given (a) upon confirmed delivery if by email, registered or certified mail, or personal delivery; or (b) two (2) business days after dispatch if by overnight commercial delivery service.
19.14 Relationship. The parties are independent contractors. Nothing creates a partnership, agency, or employment relationship.
